A significant concern is the broad license granted over User Content. It is perpetual, worldwide, transferable, sublicensable, royalty-free, and allows Amplify to modify, create derivative works from, publicly display, reproduce, distribute, and use the content for commercial, promotional, or other purposes. The license may extend beyond operating the Site and does not require notice, payment, or attribution. 5. Key User Obligations and Restrictions

  • Send unsolicited bulk communications;
  • Resell products or use products unlawfully.

A particularly notable provision imposes $50 per actual or intended recipient for unsolicited bulk communications.

6. Liability and Disputes

  • The Site, User Content, third-party services, and products are provided “as is” and “as available.”
  • Amplify disclaims implied warranties, including merchantability, fitness for purpose, non-infringement, accuracy, security, and uninterrupted availability.
  • Amplify generally excludes liability for indirect, consequential, punitive, special, incidental, and lost-profit damages.
  • Total liability is capped at the amount you paid Amplify for the relevant Site Products.
  • Users must indemnify Amplify and related parties for claims arising from their use, breach, legal violations, or User Content.
  • New York law governs.
  • Most disputes must be resolved through individual, binding AAA arbitration, not court. Jury trials, class actions, and class arbitrations are waived. Small claims cases are excluded.

Some statutory rights may override these limitations depending on the user’s jurisdiction.

7. Changes and Termination

Amplify may change the Terms at any time by posting a revised version or using another reasonable method. The “Last Updated” date identifies revisions. Continued Site use after changes constitutes acceptance. Changes do not apply to disputes arising before the revision was posted or communicated.

Amplify may suspend or terminate accounts or access at any time, with or without notice or explanation, and may delete associated files and information without liability.
